1. Acceptance of Terms

By accessing or using the Dutify service (the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (the “Terms”), as well as our Privacy Policy (“Privacy Policy”), which is incorporated herein by reference. These Terms apply to all visitors, users, and others who access or use the Service. If you do not agree with these Terms or the Privacy Policy, you must not access or use any part of the Service.

If you are using the Service on behalf of a business, company, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such a case, “you” and “your” shall also refer to that entity. If you do not have this authority, or if you do not agree to these Terms, you must not use the Service.

2. Description of Service

Dutify provides an artificial intelligence–based platform to analyze call recordings, identify actionable insights, and create tasks that can be automatically synchronized with third-party task management systems. By using advanced algorithms and machine learning, the Service aims to streamline your workflow, increase efficiency, and reduce administrative overhead.

However, all tasks or outputs generated by the Service are provided on an “as is” basis. While we strive to maintain high levels of accuracy, timeliness, and reliability in our analysis, we make no guarantees or warranties regarding the completeness or accuracy of any tasks generated or insights provided. You acknowledge that the ultimate responsibility for reviewing, verifying, and acting upon these tasks or insights lies with you.

3. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that:

You meet the minimum age requirement.
You have the right, authority, and capacity to enter into these Terms.
All registration or account information you submit is truthful and accurate.
Your use of the Service does not violate any applicable laws or regulations.

If you are using the Service on behalf of an organization, you are responsible for ensuring that all individuals within your organization who use the Service are aware of and comply with these Terms. You further represent and warrant that your organization authorizes you to legally bind it to these Terms.

4. User Accounts

To access certain features of the Service, you may be required to register and create a user account. You are solely responsible for:

Ensuring that all information you provide when creating your account is accurate, current, and complete.
Maintaining the confidentiality and security of your account credentials.
Any and all actions or omissions by you or anyone using your account, whether authorized by you or not.

Dutify will not be liable for any loss or damage arising from unauthorized use of your account. If you suspect any breach of security or unauthorized use of your account, you must promptly notify us so that we can take appropriate measures to safeguard your account.

5. Use of the Service

By using the Service, you agree to the following obligations and responsibilities:

Lawful Purposes
You will use the Service only for lawful purposes and in compliance with all applicable federal, state, local, or international laws and regulations.
Prohibited Content
You agree not to use the Service to transmit, store, or share any content that is illegal, harmful, offensive, defamatory, obscene, sexually explicit, or infringes upon the rights of any third party. This includes, but is not limited to, content that violates intellectual property rights or promotes hate speech, harassment, or violence.
Prohibited Conduct
You will not engage in any activity that could interfere with, disrupt, or negatively affect the functioning, performance, or security of the Service. This includes attempts to bypass or breach any security measures in place to protect the Service and its users.
Monitoring and Enforcement
Dutify reserves the right, at its sole discretion, to monitor your use of the Service and remove or disable any content we deem to be in violation of these Terms. We may suspend or terminate your access to the Service, without prior notice or liability, if we determine that your use is contrary to these Terms, detrimental to other users, or harmful to Dutify’s rights or interests.

If you do not agree with Dutify’s data practices or policies, you must not use the Service.

7. Intellectual Property

All content, software, designs, trademarks, service marks, logos, and other materials associated with the Service (collectively, “Service Content”) are owned by or licensed to Dutify and are protected by intellectual property laws, including, but not limited to, copyright and trademark laws.

License to Use
You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Service solely for your personal or internal business purposes. This license does not include any right to copy, distribute, modify, create derivative works from, publicly display, publicly perform, sublicense, or transfer any part of the Service or Service Content without our prior written consent.
Restrictions
You may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software or technology that is part of the Service. Any unauthorized use of the Service or Service Content may violate intellectual property laws, other laws, and/or these Terms.
Feedback
You may choose to submit comments, ideas, or feedback about the Service (“Feedback”). By submitting Feedback, you grant Dutify a non-exclusive, worldwide, royalty-free, irrevocable, sublicensable, and transferable license to incorporate the Feedback into any of its products or services.

The Service may integrate with third-party applications, including task management tools or other software platforms. These third-party services are provided solely as a convenience to you, and Dutify is not responsible for:

The availability, functionality, or accuracy of these third-party services.
Any losses, damages, or consequences arising from your use of third-party services.

Your use of any third-party service is governed by that service’s own terms of use and privacy policy. We encourage you to review the terms and policies of any third-party service before enabling integration.

9. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.

No Guaranteed Availability
Dutify does not guarantee that the Service will be available without interruption or that it will be error-free or secure. We also do not guarantee that any errors or defects will be corrected in a timely manner.
No Responsibility for User Actions
You acknowledge and agree that Dutify is not responsible for the actions or omissions of any other users of the Service, nor for the content they submit through the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DUTIFY OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

Cap on Liability
IN ALL CIRCUMSTANCES, DUTIFY’S TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO DUTIFY (IF ANY) FOR USE OF THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE INCIDENT GIVING RISE TO THE LIABILITY.
State Law Exceptions
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, the above limitations and exclusions may not apply to you to the extent prohibited by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Dutify, its affiliates, and their respective officers, directors, employees, and agents (collectively, the “Indemnified Parties”) from and against any claims, liabilities, damages, losses, and expenses (including, without limitation, reasonable attorneys’ fees) arising out of or in any way connected with:

Your access to or use of the Service.
Your breach of these Terms or any other applicable policies.
Your violation of any laws, regulations, or third-party rights, including intellectual property rights.
Any content or materials that you submit, upload, or otherwise make available through the Service.

Dutify reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.

12. Modifications to the Service and Terms

Dutify strives to improve and evolve the Service to better meet user needs. Therefore, we reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without prior notice, and without liability to you.

We may also update these Terms from time to time. If we make material changes, we will post the revised Terms on our website and may attempt to notify you through other means, such as email or notifications within the Service. By continuing to access or use the Service after the updated Terms become effective, you agree to be bound by the revised Terms.

13. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to them or your use of the Service shall be governed by and construed in accordance with the laws of the United States and the State of [Your State], without regard to its conflict of laws principles.

Arbitration
Any dispute or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration in Delaware, conducted in English, and administered by a reputable arbitration organization in accordance with its commercial rules. Judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction.
Waiver of Class Actions
You and Dutify agree that any proceedings to resolve or litigate any dispute shall be conducted solely on an individual basis, and that neither party shall seek to have any dispute heard as a class action or in any other proceeding in which either party acts or proposes to act in a representative capacity.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from these Terms, and the remaining provisions shall continue in full force and effect. Any invalid or unenforceable provision shall be enforced to the maximum extent permissible under applicable law to give effect to the intent of the parties.
